If you're overweight: Losing weight is 90% diet. 90% of diet is how much you eat, not what you're eating. Track everything you eat at least in the beginning. You'll get to a point where you don't have to worry as much, but to start with, write down everything you stick in your mouth, and err on the side of caution. I use(d) Livestrong MyPlate. It's free. Buy a scale and weigh yourself often. Don't be bothered by day-to-day changes, but this is how you can keep track of the overall trend. Join Fitocracy, and help motivate yourself socially. Post your progress on Facebook and stuff. It'll annoy your friends a little bit, but who cares? The Fitocracy forums are great, by the way. I agree with the fact that diet is a huge majority of losing weight. But 90% is a bit too steep. I'd say about 70-75% diet and the rest a good exercise.
For myself, instead of keeping track of what I eat, I track what I plan to eat, and whether or not I do it. Cooking is the best way for dieting because you don't only have control over what you put into your meal, but 100% of the time it's cheaper than going out and buying food.
